MCA seeks public feedback on proposed changes to fast track mergers rules

New Delhi, April 5 (H.S.): The government has invited public comments on proposed amendments to the rules to broaden the scope of fast-track mergers under the Companies Act, 2013. These comments and suggestions have been invited through the e-consultation module on the MCA’s website. The deadline for submitting them is set for May 5, 2025.

The Ministry of Corporate Affairs (MCA) stated in a press release issued on Saturday that a draft notification proposing amendments to the Companies (Compromise, Arrangements and Amalgamations) Rules, 2016 has been released, aimed at expanding the scope of fast-track mergers under Section 233 of the Companies Act, 2013.

The MCA noted that it has invited public comments on the proposed amendments to the rules to enhance the scope of fast-track mergers under the Companies Act, 2013. The ministry stated that comments or suggestions on these draft amendment rules can be submitted via the e-consultation module on the Ministry of Corporate Affairs’ website until May 5, 2025.

This initiative by the ministry is in line with paragraph 101 of the Central Budget Speech for 2025-2026, which emphasizes the government’s commitment to streamlining business processes. To this end, a draft notification proposing amendments to the Companies (Compromise, Arrangements and Amalgamations) Rules, 2016 is available on the Corporate Affairs Ministry’s website www.mca.gov.in, along with an explanatory note.
